These Terms of Service (“Terms”) govern your access to and use of Avoice’s websites, applications, and services (collectively, the “Service”), operated by Avoice, Inc. (“Avoice,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Account Registration

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the entity you represent.

To use certain features, you must create an account and provide accurate, complete information. You are responsible for:

  • maintaining the confidentiality of your login credentials
  • all activity occurring under your account

2. The Avoice Service

Avoice provides AI-powered tools designed to assist with architectural, engineering, and construction workflows, including but not limited to:

  • specification drafting and editing
  • document analysis
  • material and product research
  • workflow automation
  • communication and coordination assistance

Avoice does not provide professional architectural, engineering, legal, or code-compliance advice. Outputs are generated for informational and productivity purposes only.

3. User Content

3.1 Your Content

You retain ownership of all documents, data, text, files, and materials you upload or submit to the Service (“User Content”).

By using the Service, you grant Avoice a limited, non-exclusive, worldwide license to host, process, analyze, and display User Content solely for the purpose of operating and improving the Service.

3.2 Responsibility for Content

You represent that you have all rights necessary to upload User Content and that it does not violate any laws or third-party rights.

4. AI-Generated Outputs

The Service may generate content using machine learning or artificial intelligence systems (“AI Outputs”).

You acknowledge and agree that:

  • AI Outputs may be inaccurate, incomplete, or outdated
  • AI Outputs should be reviewed and validated by qualified professionals before use
  • You are solely responsible for how AI Outputs are used in real-world projects

Avoice makes no warranties regarding the accuracy, completeness, or suitability of AI Outputs.

5. Acceptable Use

You agree not to:

  • use the Service for unlawful or harmful purposes
  • upload confidential information you do not have the right to share
  • attempt to reverse engineer or extract underlying models or systems
  • interfere with or disrupt the Service or its security

We may suspend or terminate accounts that violate these Terms.

6. Third-Party Services

The Service may integrate with or link to third-party services (e.g., cloud storage, BIM tools, email platforms).

Avoice is not responsible for third-party services and does not control their terms, policies, or availability.

7. Fees & Payment

Certain features may require payment. Pricing, billing cycles, and refund policies will be disclosed at the time of purchase.

Unless otherwise stated:

  • fees are non-refundable
  • subscriptions renew automatically until cancelled

8. Confidentiality

We treat User Content as confidential and implement reasonable administrative, technical, and organizational safeguards.

However, no system is 100% secure, and you acknowledge that transmission of data involves inherent risks.

9. Intellectual Property

All rights, title, and interest in the Service, including software, interfaces, and branding, belong to Avoice or its licensors.

These Terms do not grant you any rights to Avoice’s trademarks, logos, or proprietary technology.

10. Termination

You may stop using the Service at any time.

We may suspend or terminate your access if:

  • you breach these Terms
  • required by law
  • necessary to protect the Service or other users

Upon termination, your right to use the Service ends immediately.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVOICE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVOICE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

Avoice’s total liability for any claim shall not exceed the amount you paid to Avoice in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Avoice from claims arising out of:

  • your use of the Service
  • your User Content
  • violation of these Terms

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance.
